These Member’s Terms and Conditions (the “Terms”) are exclusively for the members (the “Member” or “You”) onboarded with Dubai Motor Club (hereinafter “DMC,” “we,” or “us”) upon signing up adhering to these Terms. By accessing the Company’s website on www.dubaimotorclub.com (the “Website”), the Member hereby acknowledges and agrees to be legally bound by these Terms. The Member is provided to read these Terms thoroughly prior to becoming a member.

By becoming a member of DMC, You agree to the following Terms. These Terms govern Your membership and participation in all activities, campaigns and promotions offered by DMC.

In using the Website, you explicitly agree that You are subject to and responsible for compliance with the applicable laws of Dubai, United Arab Emirates (UAE), from a place of your residence or any other jurisdiction from where you access the Website. Should you disagree with any of the stipulated Terms, you are expressly prohibited from accessing or using the Website. These Terms constitute a legally binding contract between You and DMC. Your continued use of the Website signifies your ongoing acceptance of and consent to abide by these Terms.

1. MEMBERSHIP ELIGIBILITY
   

   1.1. Membership to DMC is exclusively available to individuals who have attained the age of majority, as defined by the laws applicable in their country of residence, or the place from which they access the DMC Website or services. It is your responsibility to ensure that you meet the legal age requirements for membership, and DMC shall bear no responsibility for verifying the age of members beyond the information provided during the registration process.

   1.2. By applying for membership, you agree to provide true, accurate, current, and complete information as requested by DMC during the application process. You further agree to promptly update such information as necessary to ensure its accuracy. Failure to provide accurate or updated information may result in the suspension or termination of your membership. DMC shall not be liable for any issues arising from the provision of inaccurate or outdated information.

   1.3. DMC reserves the absolute right, at its sole discretion, to refuse, suspend, or terminate your membership at any time, with or without cause, and without prior notice. Such decisions may be based on a violation of these Terms, failure to meet eligibility criteria, or any other reason deemed appropriate by DMC. Termination of membership shall result in the immediate loss of all benefits and privileges associated with DMC membership, without any obligation to provide a refund or compensation.

   1.4. Your membership is personal to you and is not transferable to any other individual or entity. Any attempt to transfer, sell, or assign membership rights to a third party without DMC’s express written consent shall be deemed a violation of these Terms, and may result in the immediate termination of your membership.

   1.5. You acknowledge and agree that all decisions made by DMC regarding membership eligibility, benefits, and termination are final, binding, and not subject to appeal. DMC is not required to provide any justification for its decisions and reserves the right to take any further action necessary to protect its interests or the integrity of its membership program.

   1.6. You acknowledge and agree that, by using this Website or becoming a member of DMC, you are not, at any time, representing, acting on behalf of, or authorized to bind DMC in any manner. Nothing in these Terms and Conditions shall be construed as creating any partnership, agency, employment, joint venture, or fiduciary relationship between you and DMC. You shall have no authority to make any commitments, representations, or warranties on behalf of DMC, and you agree not to hold yourself out as having any such authority. Any action or statement inconsistent with this provision shall be your sole responsibility, and DMC shall bear no liability for any such acts.

2. MEMBERSHIP FEES
   

   2.1. Membership fees are set solely at the discretion of DMC and are subject to change at any time without prior notice, except as provided in these Terms. By becoming a member, you agree to pay the applicable membership fees as determined by DMC. All membership fees are non-refundable, unless explicitly stated otherwise by DMC in writing or required by applicable law. No refunds, credits, or prorated adjustments will be given for partial periods of membership or upon termination of your membership, regardless of the cause of termination.

   2.2. DMC reserves the right to modify membership fees at any time and in any manner, including increasing or decreasing the membership fees for future billing cycles, or introducing new fees or charges applicable to specific services or benefits. DMC will endeavour to provide at least thirty (30) days’ prior notice of any changes to membership fees. Such notice may be provided through any reasonable means, including by posting on the DMC website, via email, or through your membership account. Your continued use of DMC membership benefits or services after the effective date of any fee modification shall constitute your acceptance of the new fee structure.

   2.3. You are responsible for ensuring timely payment of all membership fees, including any applicable taxes, levies, or surcharges. Fees are due in full at the time specified by DMC or on a recurring basis, as indicated during the registration or renewal process. Failure to pay membership fees when due may result in the immediate suspension or termination of your membership and the forfeiture of any membership benefits, without prior notice. DMC reserves the right to take any additional actions necessary to collect overdue fees, including legal action, and you shall be responsible for all associated costs and expenses incurred by DMC in connection with the enforcement of its rights.

   2.4. In the event that your membership is suspended or terminated for non-payment of fees or any other reason, you shall not be entitled to access any membership benefits or privileges, including promotional offers, rewards, or other services provided by DMC, until full payment of the outstanding fees is made or DMC reinstates your membership at its sole discretion. DMC shall not be liable for any loss of benefits or opportunities resulting from the suspension or termination of your membership due to non-payment.

   2.5. Where applicable, membership fees may be subject to automatic renewal based on the terms of your initial membership. You will be notified of the upcoming renewal and any changes to fees, and you may cancel your membership before the renewal date to avoid automatic charges. DMC shall not be held responsible for any automatic renewals that occur without cancellation, and any fees charged during such renewals will remain non-refundable.

3. MEMBERSHIP BENEFITS
   
   3.1. As a DMC member, you are granted non-transferable access to participate in a variety of exclusive promotions, giveaways, events, and special offers, which are determined and offered solely at DMC’s discretion. Such benefits may include, but are not limited to, discounts, priority access to events, exclusive content, and opportunities to win prizes. The nature, availability, and scope of these benefits are not guaranteed and may vary depending on your membership tier, location, or other criteria determined by DMC.

   3.2. DMC reserves the absolute right, at its sole discretion, to modify, suspend, or discontinue any and all benefits, offers, or privileges provided to members, either temporarily or permanently, at any time and for any reason, without prior notice. DMC shall not be liable for any perceived loss of benefits or disappointment arising from such modifications, suspensions, or discontinuations. You agree that DMC is under no obligation to maintain any particular benefit or promotion and that your membership does not guarantee any ongoing or future benefits.

   3.3. Certain benefits, promotions, and offers available to DMC members may be subject to additional terms, conditions, and eligibility criteria, as determined by DMC or its third-party partners or collaborators. These additional terms may include restrictions related to age, location, availability, purchase requirements, or other conditions outside of DMC’s control. DMC assumes no responsibility or liability for any limitations, exclusions, or restrictions imposed by third-party providers or for the failure of such providers to fulfil their obligations. Participation in any promotion, event, or offer shall be deemed acceptance of these additional terms, and it is your responsibility to review and comply with them.

   3.4. While DMC endeavours to offer a range of valuable benefits and promotions to its Members, it does not guarantee the availability of any particular benefit, event, or offer at any specific time. Membership does not entitle you to any guaranteed minimum value or number of benefits. DMC reserves the right to allocate benefits based on availability, inventory, or other business considerations. Members may be required to act within certain timeframes or comply with specific instructions to claim benefits, and failure to do so may result in forfeiture of such benefits.

   3.5. Unless explicitly stated by DMC, all membership benefits are personal to you as a Member and may not be sold, transferred, assigned, or shared with any third party, including other members, without the prior written consent of DMC. Any attempt to do so may result in the suspension or termination of your membership, and the forfeiture of any outstanding or unused benefits.

4. USE OF MEMBER INFORMATION
   4.1. DMC takes your privacy seriously and processes your data in accordance with applicable data protection laws. By becoming a member, you consent to the collection, use, and sharing of your personal data as outlined in our Privacy Policy.

   4.2. Your data may be shared with DMC’s partners, including but not limited to businesses within the motor industry, for promotional campaigns and other relevant activities.

   4.3. You may request the removal of your data at any time, and DMC will take such requests seriously and act accordingly, subject to legal and operational considerations.

5. MEMBER OBLIGATION
   

   5.1. As a member of DMC, you expressly agree to abide by all DMC rules, policies, and guidelines, as amended from time to time, including but not limited to those related to membership privileges, events, promotions, and any other activities organized by or in collaboration with DMC. DMC reserves the right, at its sole discretion, to introduce new policies or amend existing ones, and it is your responsibility to stay informed of such changes. Failure to comply with any rule, policy, or guideline may result in the immediate suspension or termination of your membership.

   5.2. Any misuse of your membership, including but not limited to fraudulent activities, unauthorized use of benefits, tampering with promotions, or any other behaviour that DMC deems inappropriate or in violation of these Terms or DMC policies, shall result in the immediate suspension or termination of your membership without prior notice. DMC, at its sole discretion, may also pursue legal or equitable remedies for such misconduct, including but not limited to seeking compensation for any damages or losses incurred.

   5.3. As a member, you agree not to engage in any behaviour, whether during events, online, or in any other capacity, that may be detrimental to the reputation, goodwill, or interests of DMC, its partners, sponsors, or affiliates. This includes, but is not limited to, defamatory remarks, harassment, offensive behaviour, or any action that may bring DMC or its partners into disrepute. DMC reserves the right, at its sole discretion, to take any necessary actions, including the suspension or termination of your membership, if it determines that your conduct has negatively impacted the reputation or interests of the organization or its partners.

   5.4. You are solely responsible for all activities conducted under your membership account. This includes ensuring that your membership benefits are not transferred, sold, or otherwise misused by third parties. Any unauthorized use of your account or membership benefits shall be considered a violation of these Terms, and DMC reserves the right to take appropriate action, including suspending or terminating your membership.

   5.5. In the event of any investigation by DMC into your membership activity, you agree to fully cooperate with DMC, providing all necessary information and documentation as requested. Failure to cooperate with such an investigation may result in the immediate suspension or termination of your membership, at DMC’s sole discretion.

   5.6. You acknowledge that DMC retains full discretion regarding membership matters, including the enforcement of these Terms, and that all decisions made by DMC concerning membership status, benefits, and related issues are final and binding.

6. PROMOTIONS AND GIVEAWAYS
   

   6.1. Participation in any promotions, giveaways, or other similar activities (collectively, “Promotions”) offered by DMC is subject to the specific terms and conditions outlined by DMC for each Promotion. These terms may include, but are not limited to, eligibility criteria such as age, residency, and membership status, as well as limits on the number of entries per participant. DMC reserves the right, at its sole discretion, to disqualify any participant who does not meet the eligibility criteria or who violates these Terms or the specific Promotion terms.
   
   6.2. DMC reserves the right to modify, suspend, or cancel any Promotion at any time without prior notice or liability, for any reason, including but not limited to technical issues, fraud, legal constraints, or insufficient participation. DMC shall have no obligation to award any prize if the Promotion is modified or cancelled, and participants shall have no claims against DMC arising from such modification or cancellation.

   6.3. DMC does not guarantee the availability, quality, or quantity of prizes offered in any Promotion. Prizes are subject to availability, and DMC reserves the right to substitute any prize with another item of equal or greater value. DMC is not responsible for any delays, non-delivery, or failure by third parties, including but not limited to sponsors, vendors, or courier services, to provide or deliver prizes. Participants acknowledge that once a prize is awarded, DMC bears no further responsibility or liability for its use, delivery, or condition.

   6.4. Prizes awarded in any Promotion are non-transferable, non-exchangeable, and non-redeemable for cash or other alternatives unless expressly stated otherwise by DMC. Any additional taxes, fees, or costs associated with the receipt, acceptance, or use of a prize, including but not limited to shipping charges, import duties, or registration fees, shall be the sole responsibility of the prize recipient.

   6.5. All decisions made by DMC with respect to any aspect of a Promotion, including but not limited to participant eligibility, prize allocation, and interpretation of the Promotion terms, are final, binding, and non-appealable. By participating in a Promotion, participants agree to be bound by DMC’s decisions and waive any right to contest or challenge them, whether in court or otherwise.

7. LIABILITY AND DISCLAIMERS
   

   7.1. DMC provides membership benefits, promotions, and events “as is” and makes no warranties, express or implied, regarding the availability, accuracy, or quality of any benefits or offers.

   7.2. DMC shall not be held liable for any indirect, incidental, or consequential damages arising out of or in connection with your membership or participation in any DMC activities.

   7.3. In no event shall DMC’s total liability to any member exceed the amount of the membership fee paid by that member, if any, in the 12 months preceding the event giving rise to the claim.

8. AMENDMENT TO TERMS
   

   8.1. DMC reserves the right to amend these Terms at any time at its sole discretion.

   8.2. Members will be notified of any material changes via email or through DMC’s Website. Continued membership or participation in DMC activities after such notification constitutes acceptance of the amended terms.

9. TERMINATION OF MEMBERSHIP
   

   9.1. DMC reserves the right to terminate or suspend any membership immediately in the event of a violation of these Terms, without refund or compensation, for any reason, including but not limited to:

   9.1.1. Any violation of these Terms, DMC policies, or rules applicable to the membership.

   9.1.2. Failure to comply with any applicable laws, regulations, or standards of conduct expected by DMC.

   9.1.3. Conduct by the Member that DMC, in its sole judgment, determines to be harmful to the interests of DMC, its members, affiliates, or partners.

   9.1.4. Misuse or fraudulent use of membership benefits, offers, or any DMC services.

   9.1.5. Any failure to pay applicable membership fees or any other outstanding dues to DMC within the required timeframe.

   9.2. Upon termination or suspension of membership for any reason:

   9.2.1. All membership rights, benefits, and privileges shall immediately cease without further notice or liability to DMC.

   9.2.2. The Member shall forfeit any remaining or unused benefits, offers, or entitlements associated with the membership without any right to a refund, compensation, or restitution.

   9.2.3. DMC shall have no obligation to reinstate the membership or restore any forfeited benefits, regardless of any actions the Member may take after termination.

   9.3. Termination of membership by DMC, regardless of the reason, shall not entitle the Member to any refund, reimbursement, or compensation for any portion of membership fees paid, including but not limited to unused benefits, services, or promotional offers.
   
   9.4 DMC reserves the right to modify, suspend, or discontinue the membership program or any portion thereof, including membership benefits and pricing, at any time and for any reason, without notice. In such cases, no refunds or compensation shall be provided to Members unless otherwise required by law.

10. REINSTATEMENT OF MEMBERSHIP

10.1. DMC, at its sole discretion, may consider requests for the reinstatement of a terminated or suspended membership. However, DMC shall have no obligation to reinstate any membership or restore any forfeited benefits or offers, and any reinstatement shall be subject to DMC’s review and approval.

11. INDEMNITY

    11.1. The Member agrees to indemnify, defend, and hold harmless Dubai Motor Club (DMC), its affiliates, partners, officers, directors, employees, agents, and representatives (collectively, the “Indemnified Parties”) from and against any and all claims, demands, liabilities, damages, losses, costs, expenses (including reasonable legal fees), and causes of action arising out of or in connection with:
    
    11.1.1. Any breach of these Terms including but not limited to any misuse or abuse of the membership, promotions, or benefits offered by DMC, or any violation of applicable laws by the Member.

    11.1.2. Any claims brought by third parties arising out of or related to the Member’s participation in DMC events, promotions, giveaways, or any other activities conducted by or on behalf of DMC, including claims for personal injury, property damage, or infringement of intellectual property rights

    11.1.3. Any actions, omissions, or misrepresentations made by the Member regarding their personal data or communications with DMC, including but not limited to the transmission of false, inaccurate, or unauthorized information to DMC or its partners.

    11.1.4. Any unauthorized access to or use of DMC’s Websites, mobile apps, or any other platforms by the Member or any third party using the Member’s login credentials.

12. REPRESENTATIONS AND WARRANTIES

    12.1. The Member hereby represents and warrants to Dubai Motor Club (DMC) as follows:

    12.1.1. The Member has the full legal capacity, authority, and right to enter into these Terms, and the execution, delivery, and performance of these Terms do not and will not violate any applicable law, regulation, or any agreement or obligation to which the Member is subject

    12.1.2. All information provided by the Member to DMC, including but not limited to personal details, contact information, and payment details, is true, accurate, current, and complete. The Member agrees to promptly update such information if there are any changes during the term of the membership.

    12.1.3. The Member agrees to comply with all applicable laws, regulations, and rules in relation to their membership, including but not limited to the use of DMC’s services, participation in events, and promotional offers. The Member warrants that their participation in any promotional campaign, competition, or giveaway offered by DMC is lawful under the Member’s local laws.

    12.1.4. The Member represents that any content, data, or materials they provide or contribute to DMC, including communications on DMC’s platforms, do not infringe upon the intellectual property rights, privacy rights, or any other rights of third parties.

    12.1.5. The Member represents that they will not use their membership or any services, benefits, or promotional offers provided by DMC for any unlawful or unauthorized purpose, including fraud, harassment, or activities that violate the rights of DMC or any third party.

    12.1.6. The Member acknowledges and understands that participation in certain DMC events or activities, including but not limited to motor-related activities, giveaways, or promotional events, may involve inherent risks. The Member represents that they are voluntarily participating in such activities and assume all risks associated with them.

    12.2. The Member acknowledges that DMC makes no warranties or representations, express or implied, regarding the quality, reliability, or fitness for a particular purpose of any services, promotions, or products provided by third parties in connection with the Member’s participation in DMC events or promotions.

13. INTELLECTUAL PROPERTY
    13.1. All intellectual property rights in and to the DMC name, logo, website, content, services, promotional materials, and any other materials or assets made available to members, including but not limited to copyrights, trademarks, designs, trade secrets, patents, and proprietary information (collectively, “Intellectual Property”), are owned exclusively by DMC or its licensors. No rights or licenses to use any Intellectual Property are granted to members, except as expressly provided in these Terms.

14. PROHIBITED USE

    14.1. Members are expressly prohibited from:

    14.1.1. Copying, distributing, reproducing, or modifying any of DMC’s Intellectual Property for commercial purposes without DMC’s prior written consent.

    14.1.2. Creating derivative works based on DMC’s Intellectual Property, including any adaptations, alterations, or enhancements.

    14.1.3. Using DMC’s trademarks, logos, or other Intellectual Property in any manner that could imply endorsement, sponsorship, or affiliation with any product or service not directly associated with DMC, without express written permission from DMC.

    14.1.4. Removing, altering, or obscuring any copyright, trademark, or other proprietary rights notices from any materials received or accessed through DMC.

    14.2. DMC reserves the right to protect and enforce its Intellectual Property rights to the fullest extent permitted by law. Any unauthorized use of DMC’s Intellectual Property may result in legal action, including seeking injunctive relief, damages, or other remedies.

15. MEMBER CONTRIBUTION
    15.1. If a member submits or provides any content, feedback, suggestions, or other materials (collectively, “Member Contributions”) to DMC, the member grants DMC a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right and license to use, copy, modify, distribute, and publicly display such Member Contributions for any purpose related to DMC’s activities, without compensation or acknowledgement. The member represents and warrants that they have the legal right to make such Member Contributions and that such contributions do not infringe upon any third-party rights.

16. LIMITATION OF LIABILITY
    16.1. To the fullest extent permitted by law, DMC, its affiliates, directors, officers, employees, agents, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or related to the Member’s use of DMC’s services, participation in DMC events or promotions, or any interaction with third parties associated with DMC.

    16.2. In no event shall DMC’s total aggregate liability to the Member for all claims, damages, losses, or causes of action arising under or relating to these Terms, regardless of the form of action or theory of liability (whether in contract, tort, or otherwise), exceed the total amount paid by the Member to DMC for membership fees during the twelve (12) months preceding the event giving rise to such liability.

    16.3. DMC shall not be liable for the actions, omissions, or conduct of any third parties, including but not limited to sponsors, event organizers, service providers, or other members of DMC, in connection with any event, promotion, or activity organized by DMC. The Member acknowledges that DMC is not responsible for any third-party services or products provided during DMC events or promotions.

    16.4. The Member acknowledges and agrees that participation in any motor-related activities, promotional campaigns, competitions, or events organized by DMC may involve inherent risks, including physical injury, damage to property, and other risks associated with such activities. The Member assumes full responsibility for any risks of injury or damage arising from participation in such activities, and DMC shall not be held liable for any harm or injury suffered by the Member.

17. FORCE MAJEURE

    17.1 DMC shall not be liable for any failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, governmental restrictions, labour disputes, technical failures, or any other events of force majeure.

18. SURVIVAL OF TERMS

• 1. Any provisions of these Terms that by their nature extend beyond the termination of membership, including but not limited to limitations on liability, indemnities, and confidentiality, shall continue to apply following the termination or suspension of membership.

19. WAIVER
    
    19.1. The failure of DMC to enforce any provision of these Terms or to exercise any right or remedy available under these Terms shall not be deemed a waiver of such provision, right, or remedy. Any waiver by DMC of any provision, right, or remedy must be in writing and signed by an authorized representative of DMC.

    19.2. The rights and remedies of DMC under these Terms are cumulative and not exclusive of any rights or remedies provided by law or equity.

20. ASSIGNMENT

    20.1. DMC may assign its rights and obligations under these Terms to any third party without notice to or consent from the Member. The Member may not assign or transfer its rights or obligations under these Terms without the prior written consent of DMC.

21. NOTICES

    21.1. Any notices required or permitted under these Terms shall be in writing and delivered to the address mentioned in Clause 23 of these Terms or to such other address as either party may designate in writing. Notices may be delivered by hand, registered mail, or email with confirmation of receipt.

22. RELATIONSHIP OF THE PARTIES

    22.1. Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, or employment relationship between DMC and the Member. Each party is an independent contractor and is solely responsible for its own actions and obligations.

24. GOVERNING LAW AND DISPUTE RESOLUTION

    24.1. These Terms shall be governed and construed in accordance with the laws of Dubai, United Arab Emirates.

    24.2. Any claims or disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute through negotiation, the dispute shall be submitted to mediation before resorting to litigation.

    24.3. The Courts in Dubai, UAE shall have the exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms.

25. CHANGES TO TERMS AND CONDITIONS

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms and Conditions by posting updates and changes to the Website.
